Paid Source Request Media Terms

1. Acceptance

1.1 By checking the box when posting a Paid Source Request, you agree to these Paid Source Request Media Terms ("Terms"). They apply to the Paid Source Request you are posting on Press Hook.

1.2 Press Hook may approve, decline, or revoke participation in Paid Source Requests at its discretion.

2. Definitions

2.1 Paid Source Request (or “Request”): the paid media coverage or promotional opportunity that may include, but is not limited to, an article, feature story, broadcast segment, or event, that you are posting to Press Hook so that Brands may submit themselves for inclusion.

2.2 Brand: any company, product, expert, or representative that submits to a Paid Source Request.

2.3 Placement: the specific media coverage or promotional opportunity described in the Paid Source Request. A Request posted for multiple Placements offers a separate Placement to each accepted Brand, or to each group of Brands featured together, and each one is confirmed on its own.

2.4 Placement Revenue: the total amount paid by all Brands accepted for inclusion in a Placement.

2.5 Placement Fee: the fee listed on the Request and to be charged to each Brand for inclusion in the Placement.

2.6 Lead Fee: the fee Press Hook collects from Placement Revenue, as described in Section 6.

2.7 Payout: the portion of Placement Revenue sent to you after Processing Fees are deducted and Press Hook retains the Lead Fee, as described in Section 6.

2.8 Processing Fees: the fees charged by the card processor on each Brand's payment of the Placement Fee.

3. Guaranteed Placement

3.1 You are confirming at the time of posting this Paid Source Request that each Placement offered therein has been guaranteed to be published, broadcast, or otherwise executed as described in the Request.

3.2 You will execute each Placement within ninety (90) days of the Paid Source Request closing, or within the timeframe advertised in the Request post, whichever comes later. If the Request is posted as Ongoing (multiple Placements with no closing date), you will execute each Placement within ninety (90) days of accepting the Brands it includes.

3.3 Within five (5) business days of each Placement being executed, you will confirm it as described in Section 6.3.

3.4 If the Placement is delayed, cancelled, or modified for any reason, you will notify Press Hook immediately by email sent to support@presshook.com. In the event of any such changes, Press Hook may refund any affected Brands and rescind any Payout owed for that Placement at its own discretion. If a Brand marked "accepted" as described in Section 6.2 is excluded from the Placement, you will report it as described in Section 6.3(c).

4. On-Platform Submissions Only

4.1 All Brands must submit through the Paid Source Request post to be considered for inclusion in the Placement. You will not accept submissions from Brands for the Request by direct message, email, phone, social media, or any other channel outside of the Paid Source Request post.

4.2 If a Brand contacts you about a Paid Source Request through any other channel, you will direct them to submit through the Paid Source Request post.

5. No Solicitation or Circumvention

5.1 You may not solicit, invite, or pressure any Brand to submit to a Paid Source Request outside of the invitation methods provided therein.

5.2 For twelve (12) calendar months after a Brand submits to the Paid Source Request, you will not offer or solicit the Brand for participation in the same or a related paid Placement outside of Press Hook.

6. Fees and Payouts

6.1 Placement Fees

(a) Press Hook is responsible for collecting the Placement Fee from each included Brand.

(b) A Brand is charged its Placement Fee when you mark its submission to your Request as "accepted.”

(c) You may not request additional fees other than the Placement Fee listed in the Paid Source Request, or accept any other forms of compensation in lieu of the Placement Fee.

(d) The Placement Fee you list must be at least $350 per Brand.

6.2 Lead Fees

Press Hook will deduct Processing Fees from the Placement Revenue of each Placement, retain a Lead Fee equal to 33.3% of the remaining amount, and send the rest of that Placement Revenue as a Payout to you.

6.3 Placement Confirmation

(a) After the Placement is executed, open the Paid Source Request's "Coverage & Payout" tab.

(b) Add the link to the Placement and select each included Brand from the list provided. If the Request offers multiple Placements, add each Placement’s link, and the Brands it includes, as it is executed.

(c) If a Brand you accepted was excluded from the Placement, select "Tell us they won't be covered" and follow the prompts to submit. Press Hook may, at its discretion, issue a credit or refund to the excluded Brand. Any such Placement Fee credits or refunds are removed from the Placement Revenue and your Payout.

6.4 Payout Timing

(a) Once you have confirmed an executed Placement and the Brands included as outlined in Section 6.3, your share of that Placement’s Revenue is marked "Ready."

(b) Payouts are sent on the Friday of the following week after being marked "Ready," and after being reviewed by Press Hook. If any errors or discrepancies in your Placement Confirmation are identified during review, it may result in a delay of the Payout being sent until such issues are resolved.

(c) Payouts are sent through Stripe and typically arrive in your bank account 4-5 business days after release, although arrival times may vary based on your financial institution. Press Hook does not assume any responsibility for Payouts after they have been sent.

(d) You must connect a bank account to receive Payouts. You can track all Payouts on your Earnings page.

6.5 Taxes

You are an independent contractor and are responsible for your own taxes. Press Hook may require you submit a W-9 or equivalent before sending any Payouts to you.

7. Your Representations

By posting a Paid Source Request, you confirm that:

7.1 You are authorized by the outlet(s) or organization(s) described in the Paid Source Request to accept payment for the Placement, and that accepting such payment does not violate the outlet or organization's editorial or ethics policies.

7.2 The Paid Source Request accurately describes the outlet, Placement, timelines, pricing and any other information therein.

7.3 The Placement will include any sponsored-content or paid-placement disclosures required by law (including the FTC Endorsement Guides), or as required by the associated outlet(s) or organization(s).

8. Enforcement

8.1 If you violate any of the Terms as set forth herein, Press Hook may remove this and any other Paid Source Requests you have posted, refund any affected Brands, withhold pending Payouts or reverse sent Payouts for affected Placements, and suspend or terminate your access to Paid Source Requests or Press Hook.

8.2 If any portion of a sent Payout is reversed under these Terms, you will owe Press Hook the full reversed amount. Press Hook will first attempt to collect the reversed amount by deducting it from any pending Payouts owed to you for other Paid Source Request that you have posted. If you have no pending Payouts at the time of the reversal, or such Payouts total less than the full amount reversed:

(a) Press Hook will notify you of the total balance still owed by email to the address associated with your Press Hook account;

(b) you must repay the total balance owed to Press Hook within thirty (30) calendar days from the date the notice is sent; and

(c) if you fail to repay the total balance owed within that period, Press Hook may refer it to a collection agency or take legal action. In such an event, any additional costs Press Hook incurs as a result, including collection agency fees, court costs, and reasonable attorneys' fees, to the extent permitted by law, will be added to the total balance owed.

9. Indemnification

9.1 You agree to defend, indemnify, and hold harmless Press Hook and its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or related to: (a) your Paid Source Requests or Placements; (b) your breach of these Terms, including the representations in Section 7; (c) any dispute between you and a Brand, outlet, or organization; or (d) your violation of any law or third-party right.

10. Limitation of Liability

10.1 To the fullest extent permitted by law, Press Hook will not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, or business opportunities, arising out of or related to these Terms, any Paid Source Request, or any Placement.

10.2 To the fullest extent permitted by law, Press Hook's total liability to you for all claims arising out of or related to these Terms will not exceed the total Lead Fees Press Hook retained from your Paid Source Requests during the twelve (12) months before the event giving rise to the claim. This limit does not apply to Payouts owed to you under Section 6.

11. General

11.1 Press Hook is not responsible for the execution of any Placement.

11.2 Press Hook does not guarantee Brand submissions to the Paid Source Request.

11.3 Press Hook does not review, verify, or endorse any information or materials submitted by Brands, including product claims, pricing, images, or other content, and makes no representation as to their accuracy, completeness, or legality. You are solely responsible for reviewing and verifying any Brand information or materials before including them in a Placement.

11.4 These Terms are governed by the laws of the State of Georgia.
